Terms of Use Agreement

Spicy Friends Ltd. ("Spicy Friends", "our", or "we") is a private club which, for its members (SpicyFriends.com provides absolutely no public services) provides a service where people can publish, access, share, and/or view writings, images, photographs, art, video, audio and other information, and where people can engage with others for dating, friendship, and/or online and/or offline connections (the "Service"). By joining Spicy Friends, logging on to the members-only areas of the and using applications, by clicking on third-party links, or by utilizing services and features such as member profiles (both your own and others), places, publications, posts, chat rooms, friends, photo albums, email, and other features, by publishing or viewing writings, images, video, audio, or comments, or by participating in any contest or sponsor program, you ("Member", "you" or "your") agree to be bound by this Terms of Use Agreement ("Agreement"). Member agrees that Spicy Friends has, by making the Service available to Member, provided fair and equitable consideration for entering into this Agreement. This Agreement sets out the legally binding terms of your use of the Service and may be modified by Spicy Friends from time to time, with such modifications effective upon posting to the website; specifically located by clicking on the link entitled "Terms of Use" found at the bottom of the page <www.spicyfriends.com>. This Agreement sets forth the understanding between the parties and governs your use of the Service, including any and all communications you have with others, and any and all Content ("Content", meaning, without limitation all information, writings (including but not limited to email, postings, comments, etc), images, text, photos, video, art, selections of multiple-choice boxes, lists, content, media and materials, all software, code, design, text, scripts, messages, images, photographs, illustrations, audio and video material, media files, artwork, graphic material, databases, proprietary information, writings, spoken statements, music, video recordings, audio-visual works and recordings, slides, portraits, works of authorship, animated and/or motion pictures, interactive features, caricatures, likenesses, profiles, vocal or other sounds, sound recordings, voices, voice reproductions, computer graphics and visual effects, as well as any accompanying documentation, packaging or other materials, tangible or intangible, and all copyrightable or otherwise legally protectable elements of the Service, including, without limitation, the selection, sequence and 'look and feel' and arrangement of items, and all derivative works, translations, adaptations or variations of same, regardless of the medium, broadcast medium, format or form, now known or hereinafter developed or discovered, and regardless of where produced, on location, in a studio or elsewhere, in black-and-white or in colors, alone or in conjunction with other work, characters, real or imaginary, in any part of the world) you publish (hereinafter "publish" or "post") or view on the Service.

THIS SITE CONTAINS NUDITY AND SEXUALLY EXPLICIT MATERIAL, INCLUDING BUT NOT LIMITED TO GRAPHIC PICTURES, IMAGES, VIDEO, AUDIO, AND WRITINGS, AND SHOULD ONLY BE VIEWED BY ADULTS 18 YEARS OF AGE OR OLDER AND OF LEGAL AGE TO VIEW SEXUALLY EXPLICIT MATERIAL AS DETERMINED BY THE LOCAL AND NATIONAL LAWS OF THE REGION IN WHICH YOU RESIDE. Acceptance of Terms

User Accounts

• Collect or store personal data about other users without their explicit consent.
• Violate any applicable laws or regulations.

Content Responsibility

You understand that you are responsible for any content you post or share through the Service, including messages, photos, and videos. Content does not reflect the views of Spicy Friends, nor any of its affiliates. In no event shall Spicy Friends or any affiliates have or be construed to have any responsibility or liability for or in connection with any Content whatsoever; provided, however, if we determine, in our sole discretion and judgment, that any Content does or may violate any of the terms of this Agreement, we reserve the right, at any time and without limiting any and all other rights we may have under this Agreement, at law or in equity, to: (a) refuse to allow you to use the Service; (b) remove and delete Content; (c) revoke your ability to use the Service; and/or (d) use any technological, legal, operational or other means available to us to enforce the provisions of this Agreement, including, without limitation, blocking specific IP addresses or suspending or deleting your club membership and account on the Service. You retain all of your ownership rights in your Content.

Monitoring and Enforcement

Spicy Friends reserves the right to monitor user activity and content. We may investigate and take appropriate action against anyone who violates these Terms, including suspending or terminating accounts.

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which can be found Privacy Policy. By using our Service, you consent to the collection and use of your information in accordance with the Privacy Policy.

Third-Party Links

Our Service may contain links to third-party websites or resources. We are not responsible for the availability or content of these external sites and do not endorse or make any representations about them. Use of any linked website is at your own risk.

Disclaimers

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Spicy Friends disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Spicy Friends, its affiliates, or their respective directors, officers, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.

Indemnification

You agree to indemnify, defend, and hold harmless Spicy Friends and its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, liabilities, damages, costs, or expenses (including attorneys' fees) arising out of or in any way connected to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

Modification of Terms

Spicy Friends reserves the right to modify these Terms at any time in our sole discretion. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario Canada, without regard to its conflict of law principles.

Changes

Spicy Friends has the right, at its sole discretion, and without necessity of notice, to modify either this Agreement and/or the Service at any time. Changes to this Agreement will be posted on <www.spicyfriends.com> as described above in the opening paragraph of this Agreement so that you may review it. If any portion of this Agreement or any change to the Service is unacceptable to you then you should immediately discontinue your use of the Service; continued use of the Service means that you have accepted and are bound by this Agreement and any changes made hereto.
